In its corporate practice, the firm represents U.S. and foreign companies and individuals in a wide range of operational and transactional matters. The firm's corporate clients are active in areas as varied as manufacturing, architecture, private equities, software design, avionics and the food industry. Among the corporate law services that the firm provides are the following:

• On the business operations side, negotiating and preparing agreements of all types, including agreements for sales and purchases of goods and services, licensing agreements, employment agreements, distributorship and sales representative agreements, letters of credit and form agreements for use by our clients with their customers and vendors; advising on and handling the formation and operation of corporations, limited liability companies and partnerships; advising on federal and state laws and regulations (including the New York and Delaware corporate, limited liability company and partnership laws); and negotiating settlements of commercial disputes.



• On the business transactions side, providing representation in purchases, sales and mergers of businesses and in business recapitalizations and restructurings; representing companies in business financings, including joint venture and private equity investments and bank financings; and negotiating and preparing limited liability company, shareholder, partnership and joint venture agreements.
